Mantle LLC Event Participation Agreement, Assumption of Risk, Release of Liability, Arbitration Agreement, code of conduct, and Media Authorization
By purchasing, accepting, receiving, possessing, or using a ticket, registration, credential, wristband, volunteer credential, staff credential, vendor credential, contractor credential, or any other means of admission, or by entering, attending, working at, volunteering for, or otherwise participating in any event hosted by Mantle LLC (“Event”), each attendee, participant, volunteer, staff member, contractor, vendor, and guest (“Participant”) acknowledges that they have had the opportunity to review this Agreement, understand its terms, and voluntarily agree to be legally bound by all of its provisions.
The Participant understands and acknowledges that attendance at and participation in the Event is voluntary and may involve known and unknown risks, including but not limited to personal injury, illness, disease, death, property damage, theft, loss, travel-related incidents, weather-related incidents, crowd-related incidents, equipment failures, acts or omissions of other attendees or third parties, and other hazards that may occur before, during, or after the Event. The Participant knowingly and voluntarily assumes all such risks and agrees that attendance, participation, employment, volunteer service, and all Event-related activities are undertaken entirely at the Participant’s own risk.
To the fullest extent permitted by applicable law, the Participant releases, waives, forever discharges, covenants not to sue, and agrees to indemnify, defend, and hold harmless Mantle LLC, Joshua Giles, their subsidiaries, affiliates, officers, directors, employees, staff, volunteers, contractors, vendors, sponsors, agents, representatives, successors, and assigns from and against any and all claims, demands, causes of action, liabilities, damages, judgments, losses, costs, expenses, and reasonable attorneys’ fees arising out of or relating in any way to the Participant’s attendance at, participation in, employment at, volunteer service for, or presence at the Event, except to the extent such claims arise from gross negligence or willful misconduct where applicable law does not permit such claims to be released or waived.
The Participant further acknowledges and agrees that the Event may be photographed, filmed, audio recorded, video recorded, livestreamed, televised, webcast, broadcast, or otherwise captured in any media or technology now known or later developed. The Participant irrevocably grants to Mantle LLC, Joshua Giles, their subsidiaries, affiliates, successors, assigns, licensees, sponsors, authorized media partners, and those acting with their permission, the unrestricted, perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right and license to photograph, record, reproduce, edit, modify, publish, distribute, display, transmit, stream, broadcast, perform, exhibit, create derivative works from, and otherwise use the Participant’s name, image, likeness, voice, appearance, biographical information, statements, and any audio, video, photographic, or audiovisual recording in which the Participant appears, in whole or in part, for any lawful purpose, including but not limited to live broadcasts, television, radio, streaming platforms, websites, social media, advertising, marketing, promotion, publicity, fundraising, educational materials, archival purposes, commercial purposes, and future productions, in any media or technology now known or later developed.
The Participant acknowledges and agrees that all photographs, recordings, broadcasts, livestreams, audiovisual works, and other media created in connection with the Event shall be the sole and exclusive property of Mantle LLC or its authorized designees. The Participant waives any right to inspect, review, approve, or control the finished product or any use thereof.
The Participant further acknowledges and agrees that the rights granted herein are provided voluntarily and without compensation, royalty, residual, licensing fee, reimbursement, or any other payment or consideration of any kind, whether now or in the future. The Participant expressly waives any right to receive compensation, profits, accounting, or other remuneration arising from or relating to the creation, publication, broadcast, distribution, licensing, or other use of the Participant’s name, image, likeness, voice, appearance, or recorded statements as authorized by this Agreement.
To the fullest extent permitted by applicable law, the Participant also releases and forever discharges Mantle LLC, Joshua Giles, their subsidiaries, affiliates, employees, staff, volunteers, contractors, vendors, sponsors, agents, representatives, successors, assigns, licensees, and authorized media partners from any and all claims arising from or relating to the creation, recording, editing, publication, broadcast, streaming, distribution, licensing, display, or other authorized use of the Participant’s name, image, likeness, voice, or appearance, including claims for invasion of privacy, violation of the right of publicity, misappropriation of likeness, false endorsement, or similar claims, except where such claims cannot legally be waived.
Any dispute, claim, or controversy arising out of or relating to this Agreement or the Event shall, to the fullest extent permitted by applicable law, be resolved exclusively through final and binding arbitration administered by the American Arbitration Association in accordance with its applicable rules. Arbitration shall take place in Hennepin County, Minnesota, unless Mantle LLC agrees otherwise in writing. This Agreement shall be governed by the laws of the State of Minnesota, and the Federal Arbitration Act shall govern the interpretation and enforcement of the arbitration provisions. The Participant knowingly waives any right to a trial by jury and any right to participate in a class action, collective action, representative action, or class arbitration, to the extent permitted by applicable law.
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Acceptance, receipt, possession, or use of any ticket, credential, wristband, or other means of admission, or entry into, attendance at, participation in, employment at, volunteer service for, or presence at the Event constitutes the Participant’s acceptance of this Agreement. This Agreement is a material condition of admission to and participation in the Event and shall be binding upon the Participant and the Participant’s heirs, executors, administrators, personal representatives, successors, and assigns.
Code of Conduct and Right to Remove Participants
Mantle LLC is committed to providing a safe, respectful, Christ-centered environment for worship, teaching, fellowship, and ministry. By attending or participating in the Event, each Participant agrees to conduct themselves in a manner consistent with the biblical values and mission of the Event.
The following conduct is strictly prohibited, including but not limited to:

Violence, threats of violence, assault, fighting, intimidation, or harassment.

Vulgarity, profanity, obscene language, lewd conduct, or sexually explicit behavior.

Provocative, indecent, or otherwise inappropriate attire or behavior, as determined by Mantle LLC in its reasonable discretion.

Heckling, disrupting speakers or worship services, protesting, demonstrations, disorderly conduct, or interfering with the peaceful enjoyment of the Event by others.

Distribution or display of unauthorized materials, solicitation, unauthorized sales, or unauthorized advertising.

Promotion, advocacy, or disruption in furtherance of beliefs, causes, ideologies, religions, or practices that are inconsistent with the biblical mission and purpose of the Event.

Any conduct that violates applicable law, venue policies, or the published rules of the Event.

Any other behavior that Mantle LLC reasonably determines to be disruptive, inappropriate, unsafe, or inconsistent with the purpose, mission, or orderly operation of the Event.
Mantle LLC reserves the sole right, in its reasonable discretion, to deny admission to, refuse service to, remove, or permanently exclude any Participant whose conduct violates this Code of Conduct or otherwise interferes with the safety, security, mission, or operation of the Event. Any Participant removed from the Event for violating this Code of Conduct shall not be entitled to a refund, reimbursement, credit, or other compensation, and Mantle LLC shall have no further obligation to such Participant.
